GENERAL TERMS OF SALE TO CONSUMERS


ARTICLE 1 — IDENTITY OF THE SELLER


The site is published and operated by the company BSC DISTRIBUTION, which handles the sale, invoicing, and delivery of the products offered for sale.

Hereinafter referred to as "the Seller".


ARTICLE 2 — OBJECT AND SCOPE


These General Terms of Sale (hereinafter "GTS") govern the sales of products concluded, via the site, between the Seller and any buyer who qualifies as a consumer within the meaning of the Consumer Code (hereinafter "the Client").

Sales concluded with professional buyers are subject to separate conditions (see Part 2 below).

Any order placed on the site implies full and unconditional acceptance of these GTS. The Client acknowledges having read them before validating their order.

The Seller reserves the right to modify these GTS at any time. The applicable GTS are those in effect on the date of the order.


ARTICLE 3 — SALE RESERVED FOR ADULTS


The sale of vaping products is strictly prohibited to minors.

By placing an order on the site, the Customer declares and certifies that they are of legal age (at least 18 years old) and have full legal capacity to contract.

The Seller reserves the right to cancel any order in case of serious doubt about the Customer's age or capacity.


ARTICLE 4 — PRODUCTS


The products offered for sale are those listed on the site, within the limits of available stock. Each product is accompanied by a description indicating its essential characteristics.

The products comply with the current French regulations applicable to vaping products.

The Customer is solely responsible for verifying that the ordered products can be legally held and used in their delivery area, and more generally for complying with the regulations applicable to their place of residence.


ARTICLE 5 — PRICES


The prices of the products are indicated in euros. The applicable price is that displayed on the site at the time of order confirmation.

Delivery charges are indicated separately and calculated based on the delivery address, before order confirmation.

The Seller reserves the right to change its prices at any time, it being understood that the products will be billed based on the rates in effect at the time of order registration.


ARTICLE 6 — ORDER


The Customer selects the products, adds them to their cart, and then confirms their order after verifying its contents, providing their delivery address, and accepting these terms and conditions.

The sale is considered final after confirmation of the order by the Seller and actual receipt of payment.

The Seller reserves the right to refuse or cancel any order from a Customer with whom there is a dispute, or for any legitimate reason.


ARTICLE 7 — PAYMENT TERMS


The Customer can pay for their order by:

- Bank transfer: products are shipped as soon as the corresponding payment for the order is actually received.
- Credit card: secure payment; products are shipped after payment confirmation.

Products are shipped no later than 2 business days after actual receipt of payment.

In the case of payment by bank transfer, if payment is not received within 5 business days after the order, the Seller will inform the Customer and reserves the right to cancel the order at the end of this period.

The transfer of ownership of the products only occurs after full payment of the price.


ARTICLE 8 — DELIVERY


8.1 Delivery area

Deliveries are made exclusively in mainland France.

8.2 Costs and deadlines

Delivery costs are automatically calculated based on the delivery address and communicated to the Customer before the order is validated.

Delivery is free for purchases over €50.

Deliveries are handled by the Seller's partner carriers. The indicated delivery time is an average time; it starts from the shipment of the order.

8.3 Receipt

The Customer is required to check the condition of the package upon receipt.

In case of a lost, damaged, or incomplete package, the Customer must report it to the Seller within 48 hours following delivery (or the scheduled delivery date), providing supporting documents (including photographs). After verification with the carrier, the Seller will proceed, as applicable, with a refund or reshipment of the order.

The risk of loss or damage to the products is transferred to the Customer at the moment they physically take possession of the products.


ARTICLE 9 — RIGHT OF WITHDRAWAL


In accordance with articles L221-18 and following of the Consumer Code, the Customer has a period of 14 days from the receipt of the products to exercise their right of withdrawal, without having to justify a reason.

To exercise this right, the Customer informs the Seller of their decision by an unambiguous statement (by email to contact@bsc-distribution.com).

Products must be returned to the Seller as soon as possible and no later than 14 days after communicating the decision to withdraw. Return shipping costs are the responsibility of the Customer.

The Seller refunds the Customer the total amount paid, including the initial shipping costs (excluding additional costs related to a delivery method chosen by the Customer other than the standard method), no later than 14 days after being informed of the decision to withdraw. The Seller may delay the refund until the products are recovered or until the Customer has provided proof of shipment.


ARTICLE 10 — WARRANTIES


Regardless of the right of withdrawal, the Customer benefits from the following legal warranties, which apply free of charge:

- The legal warranty of conformity (articles L217-3 and following of the Consumer Code) ;
- The warranty for hidden defects (articles 1641 and following of the Civil Code).

In case of a defective or non-compliant product noted upon receipt, the Client is invited to report it to the Seller within 48 hours (with supporting documents). The Seller will then proceed, at the Client's choice, to replace or refund the concerned product.


ARTICLE 11 — LIABILITY


The Seller cannot be held responsible for the non-performance of the contract in case of force majeure, the act of a third party, or the fault of the Client.

The Client is solely responsible for the use they make of the products and for compliance with the regulations applicable to their place of residence and use.


ARTICLE 12 — PERSONAL DATA


The personal data collected is subject to processing in accordance with applicable regulations (GDPR and Data Protection Act). The processing methods are detailed in the Privacy Policy accessible on the site.


ARTICLE 13 — APPLICABLE LAW AND DISPUTES


These General Terms and Conditions are subject to French law.

In case of a dispute, the Client will first contact the Seller to seek an amicable solution.

Failing an amicable resolution, the dispute will be brought before the competent courts in accordance with common law rules.

ARTICLE 2 — OBJECT AND SCOPE

 

These General Terms and Conditions of Sale (hereinafter "GTC ") govern the sales of products concluded between the Seller and any buyer acting for purposes within the scope of their commercial, industrial, artisanal, or liberal activity (hereinafter "the Client" or "the Professional").

 

The Client acknowledges acting for the needs of their professional activity. As such, they do not benefit from the protective provisions applicable to consumers, and in particular do not have any right of withdrawal.

 

Any order implies full and unconditional acceptance of these GTC, which prevail over all purchasing conditions of the Client. The applicable GTC are those in effect on the date of the order.

 

 

ARTICLE 3 — ACCESS TO PROFESSIONAL ACCOUNT

 

Access to the professional space is reserved for Clients whose request has been validated by the Seller. The professional account is created by the Seller after receipt and verification of the information provided by the Client (notably proof of activity and VAT number).

 

The Seller reserves the right to refuse any access request, or to suspend access, without having to justify it.

 

 

ARTICLE 4 — PRODUCTS AND ORDER CONDITIONS

 

4.1 Products

The products offered are those listed on the site, within the limits of available stock. The products comply with the French regulations in force applicable to vaping products.

 

4.2 Minimum quantity per reference

Products are ordered in multiples of 5 units per reference (5, 10, 15, etc.), with a multiple of 5 corresponding to a box.

 

4.3 Minimum order amount

The minimum amount for an order is set at 300 € excluding VAT. For any order below this amount, the Seller reserves the right either to charge delivery fees or to cancel the order.

 

 

ARTICLE 5 — PRICES

 

The prices of the products are indicated in euros excluding taxes (excluding VAT). The applicable VAT is added at the time of payment.

 

The Seller reserves the right to change its prices at any time; products are billed based on the rates in effect at the time of order registration.

 

 

ARTICLE 6 — PAYMENT TERMS

 

6.1 Payment

Payment is made by credit card or bank transfer.

 

Orders placed on the site are payable in full at the time of ordering. For orders placed through another channel (phone, email), a payment deadline may be granted on a case-by-case basis to certain Clients, within the limits of legal deadlines (a maximum of 60 days from the date of invoice issuance).

 

6.2 Late penalties

In accordance with articles L441-10 and following of the Commercial Code, any late payment automatically incurs, without prior notice:

 

- the application of late penalties at a rate of 3 times the current legal interest rate;

- a fixed compensation of 40 € for recovery costs, without prejudice to any additional compensation upon justification.

 

6.3 Retention of title

The Seller retains ownership of the sold products until full payment of the price, including principal and accessories. The transfer of risks occurs, however, as soon as the products are handed over to the Client.

 


ARTICLE 7 — DELIVERY

 

7.1 Delivery area

Deliveries are made in France. Orders destined for abroad are processed separately and may be directed to the Seller's partner import company, subject to the applicable conditions (notably regarding quantity and regulatory compliance).

 

7.2 Costs and deadlines

Delivery costs amount to €50 and are free for orders over €300 excluding tax.

 

Deliveries are handled by the Seller's partner carriers. Products are shipped no later than 2 business days after actual receipt of payment. Delivery times are provided as a guideline.

 

7.3 Receipt and reservations

The Client is required to check the condition and compliance of the products upon receipt. Any reservations regarding an apparent defect, damage, or non-compliance must be made to the Seller within 48 hours of receipt, with supporting documents (notably photographs). Failing this, the products are deemed accepted and compliant.

 

 

ARTICLE 8 — RETURNS AND DEFECTIVE PRODUCTS

 

No returns are accepted, except for defective or non-compliant products.

 

Any defective or non-compliant product must be reported to the Seller within 48 hours of receipt, with supporting documents. The Seller decides, on a case-by-case basis, whether to proceed with the replacement or refund of the concerned product.

 

No return will be accepted without prior agreement from the Seller.

 

 

ARTICLE 9 — CLIENT OBLIGATIONS

 

The Client, in its capacity as a reseller, agrees to comply with all applicable regulations regarding vaping products, including :

 

- the prohibition of sales to minors (under 18 years old) ;

- the obligations arising from the regulations applicable to vaping products (compliance, information, advertising, etc.).

 

The Client is personally responsible for complying with the regulations applicable to its activity and its marketing area, and holds the Seller harmless from any consequences of its failure.

 

 

ARTICLE 10 — LIABILITY

 

The Seller cannot be held liable for non-performance of the contract in cases of force majeure, acts of a third party, or fault of the Client. The Seller's liability, if engaged, would be limited to the amount of the concerned order.

 

 

ARTICLE 11 — PERSONAL DATA

 

The personal data collected is subject to processing in accordance with applicable regulations (GDPR and Data Protection Law), under the conditions detailed in the Privacy Policy accessible on the site.

 

 

ARTICLE 12 — APPLICABLE LAW AND DISPUTES

 

These General Terms and Conditions are subject to French law.

 

In the event of a dispute, the parties will strive to seek an amicable solution. Failing an agreement, any dispute falls under the exclusive jurisdiction of the Commercial Court of Créteil, notwithstanding the plurality of defendants or third-party claims.
