GENERAL TERMS AND CONDITIONS OF SALE TO PROFESSIONALS

The site is published and operated by the company BSC DISTRIBUTION, which ensures the sale, invoicing, and delivery of the products offered for sale to professionals.

Hereinafter referred to as "the Seller".
ARTICLE 2 — OBJECT AND SCOPE
These General Terms and Conditions of Sale (hereinafter "GTC ") govern the sales of products concluded between the Seller and any buyer acting for purposes within the scope of their commercial, industrial, artisanal, or liberal activity (hereinafter "the Client" or "the Professional").
The Client acknowledges acting for the needs of their professional activity. As such, they do not benefit from the protective provisions applicable to consumers, and in particular do not have any right of withdrawal.
Any order implies full and unconditional acceptance of these GTC, which prevail over all purchasing conditions of the Client. The applicable GTC are those in effect on the date of the order.
ARTICLE 3 — ACCESS TO PROFESSIONAL ACCOUNT
Access to the professional space is reserved for Clients whose request has been validated by the Seller. The professional account is created by the Seller after receipt and verification of the information provided by the Client (notably proof of activity and VAT number).
The Seller reserves the right to refuse any access request, or to suspend access, without having to justify it.
ARTICLE 4 — PRODUCTS AND ORDER CONDITIONS
4.1 Products
The products offered are those listed on the site, within the limits of available stock. The products comply with the French regulations in force applicable to vaping products.
4.2 Minimum quantity per reference
Products are ordered in multiples of 5 units per reference (5, 10, 15, etc.), with a multiple of 5 corresponding to a box.
4.3 Minimum order amount
The minimum amount for an order is set at 300 € excluding VAT. For any order below this amount, the Seller reserves the right either to charge delivery fees or to cancel the order.
ARTICLE 5 — PRICES
The prices of the products are indicated in euros excluding taxes (excluding VAT). The applicable VAT is added at the time of payment.
The Seller reserves the right to change its prices at any time; products are billed based on the rates in effect at the time of order registration.
ARTICLE 6 — PAYMENT TERMS
6.1 Payment
Payment is made by credit card or bank transfer.
Orders placed on the site are payable in full at the time of ordering. For orders placed through another channel (phone, email), a payment deadline may be granted on a case-by-case basis to certain Clients, within the limits of legal deadlines (a maximum of 60 days from the date of invoice issuance).
6.2 Late penalties
In accordance with articles L441-10 and following of the Commercial Code, any late payment automatically incurs, without prior notice:
- the application of late penalties at a rate of 3 times the current legal interest rate;
- a fixed compensation of 40 € for recovery costs, without prejudice to any additional compensation upon justification.
6.3 Retention of title
The Seller retains ownership of the sold products until full payment of the price, including principal and accessories. The transfer of risks occurs, however, as soon as the products are handed over to the Client.
ARTICLE 7 — DELIVERY
7.1 Delivery area
Deliveries are made in France. Orders destined for abroad are processed separately and may be directed to the Seller's partner import company, subject to the applicable conditions (notably regarding quantity and regulatory compliance).
7.2 Costs and deadlines
Delivery costs amount to €50 and are free for orders over €300 excluding tax.
Deliveries are handled by the Seller's partner carriers. Products are shipped no later than 2 business days after actual receipt of payment. Delivery times are provided as a guideline.
7.3 Receipt and reservations
The Client is required to check the condition and compliance of the products upon receipt. Any reservations regarding an apparent defect, damage, or non-compliance must be made to the Seller within 48 hours of receipt, with supporting documents (notably photographs). Failing this, the products are deemed accepted and compliant.
ARTICLE 8 — RETURNS AND DEFECTIVE PRODUCTS
No returns are accepted, except for defective or non-compliant products.
Any defective or non-compliant product must be reported to the Seller within 48 hours of receipt, with supporting documents. The Seller decides, on a case-by-case basis, whether to proceed with the replacement or refund of the concerned product.
No return will be accepted without prior agreement from the Seller.
ARTICLE 9 — CLIENT OBLIGATIONS
The Client, in its capacity as a reseller, agrees to comply with all applicable regulations regarding vaping products, including :
- the prohibition of sales to minors (under 18 years old) ;
- the obligations arising from the regulations applicable to vaping products (compliance, information, advertising, etc.).
The Client is personally responsible for complying with the regulations applicable to its activity and its marketing area, and holds the Seller harmless from any consequences of its failure.
ARTICLE 10 — LIABILITY
The Seller cannot be held liable for non-performance of the contract in cases of force majeure, acts of a third party, or fault of the Client. The Seller's liability, if engaged, would be limited to the amount of the concerned order.
ARTICLE 11 — PERSONAL DATA
The personal data collected is subject to processing in accordance with applicable regulations (GDPR and Data Protection Law), under the conditions detailed in the Privacy Policy accessible on the site.
ARTICLE 12 — APPLICABLE LAW AND DISPUTES
These General Terms and Conditions are subject to French law.
In the event of a dispute, the parties will strive to seek an amicable solution. Failing an agreement, any dispute falls under the exclusive jurisdiction of the Commercial Court of Créteil, notwithstanding the plurality of defendants or third-party claims.
